Terms of Service

These Terms of Service (the “Agreement”) govern your use of the services provided by Prapper, Inc. (“Prapper”). By signing up, subscribing, or otherwise using the service, you agree to be bound by this Agreement. If you're accepting on behalf of a company, you confirm that you have authority to do so. If you don’t agree or lack such authority, you may not use the service.

1. Use of the Service

Prapper provides a cloud-based AI service for customer support, sales, and engagement (the “Service”). You are responsible for anything you upload, customize, or configure (“User Submissions”). You won’t receive or access the underlying software code.

Your subscription allows you and your authorized users (“Users”) to access the Service for your internal business use. All subscriptions are detailed in the order form or service portal.

Prapper retains ownership of the Service, its software, templates, and all related content (“Prapper Materials”).

You control user permissions. Prapper isn’t responsible for managing or enforcing these.

2. Restrictions

You agree not to:

  • Copy, modify, or reverse-engineer the Service.
  • Use it for illegal purposes or to compete with Prapper.
  • Access it without authorization.
  • Test vulnerabilities without permission.

Use of Prapper’s APIs must comply with any usage limits. API access can be modified or revoked by Prapper at any time.

3. Third-Party Services

You may choose to integrate with third-party services. Prapper is not responsible for these and disclaims all warranties related to them. Use them at your own risk.

4. Fees & Payments

You agree to pay all fees (“Fees”) as specified in your order. Fees are non-refundable unless stated otherwise. Payment is typically processed through a third-party provider, and you must keep your billing information up to date.

You’re also responsible for any taxes unless you provide proof of exemption.

If payment fails, access to the Service may be suspended. Disputes must be reported within 60 days of the charge.

5. Term & Termination

Your subscription begins on the order start date and continues until the end of the term. You can cancel via your account or by notifying Prapper.

Either party can terminate for a material breach with 30 days’ notice. If you terminate due to a Prapper breach, we’ll refund any unused prepaid fees. Termination revokes all access, and data may be deleted after 30 days unless earlier deletion is requested.

6. Warranties & Disclaimers

You warrant that your content complies with all laws. The Service is provided “as-is,” and Prapper disclaims all warranties, including for availability, performance, or error-free operation.

7. Limitation of Liability

Prapper isn’t liable for indirect, incidental, or consequential damages. Total liability is capped at the amount paid by you in the past 12 months.

8. Confidentiality

Each party will protect the other’s confidential information using reasonable care and won’t share it outside necessary personnel or partners. Legal disclosures require prior notice when possible.

Feedback you provide may be used by Prapper without restriction, though we won’t attribute it to you without permission.

9. Data

You permit Prapper to collect and process user information and usage data as necessary to provide the Service. You retain ownership of your submissions, and Prapper may use anonymized service data for analytics and improvement.

10. General Terms

  • Publicity: With your permission, Prapper may list you as a customer.
  • Force Majeure: Prapper isn’t liable for events beyond its control.
  • Changes: Prapper may modify these terms with 30 days’ notice.
  • Relationship: This Agreement doesn’t create a partnership or employment relationship.
  • No Third-Party Rights: Only you and Prapper can enforce this Agreement.
  • Notices: Sent via email or within the Service.
  • Amendments: Must be in writing and signed by both parties.
  • Severability: If a clause is unenforceable, the rest remains in effect.
  • Assignment: You may not assign this Agreement without permission. Prapper may assign in a merger or sale.
  • Governing Law: Delaware law applies. Disputes go to courts in New Castle County, Delaware. No jury trial.
  • Entire Agreement: This Agreement is the full understanding between you and Prapper.
